f) Collecting or harvesting any personally identifiable information from our website without prior consent;

2.3 User Content: By submitting or uploading any content to our website, including but not limited to comments, reviews, or messages, you grant CVSPAN a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display the content for any purpose.

Training Courses
3.1 Course Enrollment: By enrolling in any of our UI/UX design training courses, you agree to the specific terms and conditions associated with that course. These may include payment obligations, course duration, access restrictions, and any additional requirements.

3.2 Course Materials: Any materials provided as part of our training courses, including but not limited to videos, tutorials, assignments, and resources, are for personal, non-commercial use only. You may not reproduce, distribute, or modify these materials without explicit permission from CVSPAN.

Design Services

4.1 Design Process: CVSPAN provides clients with UI/UX design services. The specific details, requirements, and deliverables will be discussed and agreed upon with each client separately.

4.2 Intellectual Property: CVSPAN retains all rights, titles, and interests in and to the UI/UX designs created for clients, including but not limited to wireframes, mockups, prototypes, and final designs. Intellectual property laws and other applicable laws protect the designs. Clients are granted a non-exclusive license to use the designs for their intended purposes as agreed upon.

4.3 Feedback and Revisions: Clients may provide feedback on the design work and request revisions within the agreed-upon scope. CVSPAN will make reasonable efforts to accommodate revision requests, but the number and extent of revisions may be subject to additional charges and timeframes.

User Responsibilities
5.1 Accuracy and Compliance: When using our website, you are accountable for your actions, any information you provide on it, and the accuracy, completeness, and legality of that information. You are also accountable for any potential violations of third parties’ rights. 

5.2 Security: You are responsible for maintaining the security of your account, including safeguarding your login credentials. You must notify CVSPAN immediately of any unauthorized use or suspected security breach.
5.3 Accuracy and Compliance for clients: Clients are responsible for providing accurate and complete information regarding their design requirements. Clients agree to comply with all applicable laws, regulations, and third-party rights when using our design services.

5.4 Content Ownership: Clients represent and warrant that they have the necessary rights or permissions to provide any content, images, or materials they submit for use in the design process. Clients retain ownership of their content and are solely responsible for any legal consequences arising from its use.

Confidentiality
6.1 Non-Disclosure: CVSPAN understands the importance of confidentiality. We will treat all client information, project details, and materials as confidential and will not disclose them to third parties without the client’s prior written consent unless required by law.

“>6.2 Confidential Information (Tutee)
   The Tutee acknowledges that during their enrollment in CVSpan Design School, they may have access to confidential and proprietary information, including but not limited to
   a. Learning resources, course materials, and curriculum content developed by the School;
   b. Design projects, assignments, and work-in-progress related to clients of the School;
   c. Client information, including names, contact details, and project details provided to the School by clients.

6.2.1 Non-Disclosure Obligation:
   The Tutee agrees to maintain the confidentiality of all Confidential Information obtained during their studies at CVSpan Design School and to use it solely to complete their coursework and participate in design projects assigned by the School.

6.2.2 Non-Use and Non-Disclosure:
   The Tutee shall not, without the prior written consent of the School, disclose, publish, reproduce, or transmit any Confidential Information to any third party, except as required for the completion of their assigned coursework or as authorized by the School in writing.

6.2.3 Protection of Confidential Information:
   The Tutee shall exercise all reasonable precautions to prevent the unauthorized use, disclosure, or publication of any Confidential Information received from the School. The Tutee shall not remove, alter, or destroy any proprietary markings or notices attached to or contained within any Confidential Information.

6.2.4 Waiver of Rights:
The Tutees hereby waive all claims, rights, or interests in the Ideas or Content produced during their engagement with CVSPAN. They acknowledge that they shall not have any ownership rights or entitlements to the Ideas or Content and that CVSPAN retains exclusive ownership.

6.2.5 Consent for Use:
(a) The Tutees grant CVSPAN the right to use, reproduce, modify, adapt, publish, and display the Ideas or Content, in whole or in part, for any purpose deemed necessary by CVSPAN.
(b) The Tutees acknowledge and agree that CVSPAN may exercise these rights without any obligation to provide compensation or attribution to the Tutees.

6.2.6 Representations and Warranties:
(a) The Tutees represent and warrant that the Ideas or Content produced during their association with CVSPAN are their original work and do not infringe upon any third party intellectual property rights.
(b) The Tutees shall indemnify and hold CVSPAN harmless against any claims, damages, or liabilities arising from any breach of intellectual property rights or representations made by the Tutees.

6.2.7 Non-Solicitation:
   During the term of their studies at CVSpan Design School and for 10 years after that, the Tutee agrees not to solicit or attempt to solicit any clients, employees, or contractors of the School for their benefit or the benefit of any third party.

6.2.8 Remedies:
   The Parties acknowledge and agree that any unauthorized use or disclosure of Confidential Information by the Tutee may cause irreparable harm to the School, for which monetary damages may not be an adequate remedy. Therefore, in the event of a breach or threatened breach of this Agreement, the School shall be entitled to seek injunctive relief and any other legal remedies available.

6.2.9 Governing Law and Jurisdiction:
   This Agreement shall be governed by and construed under the laws of Nigeria. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts in the Federal Republic of Nigeria.

6.2.10 Entire Agreement:
   This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, whether written or oral, relating to the subject matter hereof.

Disclaimer and Limitation of Liability

7.1 Disclaimer (Tutees): CVSPAN makes no representations or warranties of any kind, express or implied, regarding the operation or availability of the website. We do not guarantee the accuracy, completeness, or reliability of any content on the website. Your use of the website is at your sole risk.
7.2 Disclaimer (Clients): CVSPAN makes no representations or warranties of any kind, express or implied, regarding the accuracy, suitability, or availability of our design services or the outcomes thereof. Our designs are based on the information provided by the client, and the client acknowledges that CVSPAN cannot guarantee the achievement of specific results.

7.3 Limitation of Liability: To the maximum extent permitted by law, CVSPAN and its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of the website, including but not limited to any loss of profits, data, or reputation.

Refunds:
8.1 CVSPAN does not offer refunds for any design school, UI/UX design services, or online app user testing purchases.
8.2  All payments made to CVSPAN are considered final and non-refundable.
8.3 It is the responsibility of the client to ensure the accuracy of their purchase and to carefully review the service details before making a payment.

Trials:
9.1 CVSPAN may offer trial versions of certain services or limited access to its design school for evaluation purposes.
9.2 Trials are provided at the sole discretion of CVSPAN and may be subject to specific terms and limitations.
9.3 CVSPAN reserves the right to modify or discontinue trials at any time without prior notice.

Discounts:
10.1 CVSPAN may offer promotional discounts or special offers for its design school, UI/UX design services, or online app user testing.
10.2 Discounts are subject to specific terms and conditions and may be limited in availability or duration.
10.3 CVSPAN reserves the right to modify or discontinue discounts or special offers at any time without prior notice.

Governing Laws:
11.1 These Terms and Conditions shall be governed and construed in accordance with the laws of the jurisdiction where CVSPAN is registered and operates.
11.2 Any disputes arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in the aforementioned jurisdiction.

Cancellation:
12.1 Clients may request to cancel their design school enrollment, UI/UX design services, or online app user testing at any time.
12.2 Cancellation requests must be submitted in writing or through the designated cancellation process specified by CVSPAN.
12.3 CVSPAN reserves the right to evaluate cancellation requests on a case-by-case basis and may apply relevant fees or charges depending on the progress of the service or program.

Modification of Terms and Conditions:
13.1 CVSPAN reserves the right to modify or update these Terms and Conditions at any time without prior notice.
13.2 It is the responsibility of the client to review the most current version of the Terms and Conditions available on the CVSPAN website.
13.3 Continued use of CVSPAN’s services or programs after any modifications to the Terms and Conditions constitutes acceptance of the updated terms.

CVSPAN Community Guidelines

1. Before receiving a certificate of completion as a Product Designer, participants in this program must complete all five stages.
2. Every stage has three projects and two quizzes, and all participants are expected to complete them all because failing to do so will affect their scores, which will determine whether or not they advance to the next stage.
3. To improve the effectiveness of our learning process, we implemented two quizzes, two minor projects, and one large project at each stage. The quizzes are graded at 15%, the minor projects at 10%, and the major project at 50%. To advance to the next stage, participants must average a score of 50% from stages 1 to 3 and 70% from stages 4 to 5. Don’t worry; our dependable tutors will guide you through the process.
4. We understand your hectic schedules, so please notify your tutor in advance if you will be missing any sessions so that you can catch up on what has been taught previously. You should also be informed that moving on to the next phase requires you to complete and submit your capstone projects within the time frame specified.
5. Any tutee who requests a special timetable to accommodate their learning pace may be charged by the tutor. A fee is required to cover the administrative costs associated with providing this service.
6. Failure to submit a completed project within the allotted presentation time will result in a mark reduction for that project. Unless the tutor had granted permission ahead of time.
7. Any tutee who has been demoted due to inactivity will only be considered for the next cohort if the number of applicants falls within the range of people allotted for that stage.
8. Please refer to the countdown timer on the school page for information on when each session and stage will begin and end.
9. Participants who are unable to complete assignments within the allotted time will be given an extension but will face mark deductions. If a participant does not submit their work within the one-week grace period, it will be assumed that they did not complete their task, and they will not advance to the next stage.
10. The availability of stage tutors, who are members of other design communities and may be involved in other professional activities, determines the grace period for each stage. If the tutor or reviewer grants a grace period, their grades will be reduced by around 20% for each day they fail to have their project reviewed.
11. Only if the tutee does not repeat the class will the promotion’s covered tuition remain valid. Every student who enrolls through the promotion and then repeats a course must pay the regular course fee.
12. Payment of the monthly subscription lasts only for that month and cannot be rolled over. Do as much as you can to make use of your study plan in the allotted period.
13. Classes are held every weekday from 8 p.m. to 10 p.m. on Wednesdays, Thursdays, and Fridays.
14. Tutees are expected to have accounts on Telegram, WhatsApp, and Google for their training.
